______（以下簡(jiǎn)稱甲方）因工作需要根據(jù)《中華人民共和國(guó)律師法》的有關(guān)規(guī)定，聘請(qǐng)________（以下簡(jiǎn)稱乙方）的律師為法律顧問，經(jīng)雙方協(xié)商訂立下列協(xié)議，共同遵照履行。
　　________（’A’ hereinafter） would like to retain ________（’B’ hereinafter） as its legal counsel， according to Law of Attorneys of 　　Peoples Republic of China. The two parties through consultation hereby agree upon， and shall be bound by， the following terms：
　　一、乙方委派律師________擔(dān)任甲方的法律顧問，為甲方提供法律幫助，依法維護(hù)甲方的合法權(quán)益。甲方指定________為法律顧問的聯(lián)系人。
　　1. B will designate ________， the lawyer employed by A， to work as Bs legal counsel. ________ will provide legal assistance and protect Bs interests vested by law.
　　二、法律顧問工作范圍：
　　1.為甲方解答法律問題，必要時(shí)提供法律意見書。
　　2.協(xié)助草擬、修改、審查合同和有關(guān)法律事務(wù)文書。
　　3.接受甲方委托，參與經(jīng)濟(jì)合同談判。
　　4.接受甲方委托，擔(dān)任代理人，參加訴訟、非訴訟、調(diào)解、仲裁活動(dòng)。
　　5.應(yīng)甲方要求，向職工進(jìn)行法制宣傳教育。
　　6.接受甲方委托、辦理其它法律事務(wù)。
　　2. The legal counsel will provide the following services：
　　a. Providing answers to legal questions， and issuing written legal opinion when necessary；
　　b. Assisting in drafting and reviewing contracts and other legal document；
　　c. Participating in contract negotiation on As behalf；
　　d. Participating in litigation， non-litigation activities， arbitration， and intermediation；
　　e. Handling other legal matters on behalf of A.
　　三、律師的工作時(shí)間、地點(diǎn)，根據(jù)甲方的提議，隨時(shí)聯(lián)系約定。
　　3. A will contact the legal counsel to decide the time and location each time when service is needed.
　　四、甲方向乙方每月繳納聘請(qǐng)律師費(fèi)________元。律師費(fèi)用按季繳納，參加訴訟、非訴訟、調(diào)解、仲裁、以及項(xiàng)目談判，收費(fèi)按規(guī)定另議。
　　4. A shall pay B an annual fee of $ ________. Additional fee will be charged on an hourly basis for the service of litigation， intermediation， arbitration， and contract negotiation.
　　五、律師受甲方委托，外出差旅費(fèi)由甲方支付。
　　5. Whenever the legal counsel is on business trip on behalf of A， all his/her living and traveling expense shall be paid by A.
　　六、甲方應(yīng)向律師提供與業(yè)務(wù)有關(guān)的情況、資料和必要的工作條件。
　　6. A shall provide the legal counsel with relevant information， material and appropriate working conditions.
　　七、本合同自雙方簽字之日起生效，期限為________年。
　　7. This contract shall come into effect on the date when it is signed by both parties. The term of this contract is ________years.
　　八、本合同一式兩份，雙方各執(zhí)一份，具有同等效力。
　　8. This contract shall have two originals and each party will have one. Both copies shall be equally valid.
