Individuallycalled?Party?A?and?Party?B?respectively?and/or?the?“Party”?and?together,?called?the?“Parties”.

經(jīng)過友好協(xié)商和在公平、平等的原則基礎(chǔ)上，雙方約定如下：

After?friendly?consultations?and?proceeding?on?principles?offairness?and?equality,?the?Parties?have?agreed?the?following:

一、?模具內(nèi)容(包括材料)/Mold?Info.(Including?Materials)

二、?模具價格表/Mold?Price?List

(以上價格已含17%的增值稅，且包含模具送到?的運費。)

(The?above?prices?include?VAT?17%?and?the?molddelivery?to?.)

三、?模具開發(fā)周期及要求/Work?Day?&?Requirement

1)?模具的開發(fā)周期/Mold?Work?Day

首件樣件完成時間/Time?offinishing?first?product?of?mold：從接到訂單到首件樣品完成需要?天/?days?from?buildingtime?ARO?(after?receipt?of?order)?to?first?POM?(product?of?mold)?sample?pour;

開發(fā)時間/DevelopmentTime:從首件樣品到整個樣件提交需要?天/?days?fromfirst?sample?pour?to?sample?submission.

2)?模具驗收/Mold?Inspection:模具必須符合甲方的技術(shù)要求。The?product?shall?completelyfit?the?technical?requirements.

3)?由于模具的開發(fā)周期和質(zhì)量問題造成甲方項目延期,乙方將賠償甲方的一切損失。IfParty?A’s?project?delayed?due?to?the?work?day?and?the?quality?of?the?mold,Party?Bshould?compensateParty?A?for?all?the?losses.

四、?模具的維護/Mold?Maintenance

正常使用壽命內(nèi)的模具在生產(chǎn)過程中發(fā)生的損壞或磨損,相關(guān)的維修及保養(yǎng)等都由乙方負(fù)責(zé)。If?the?mold?is?within?the?normal?working?life?but?damaged?or?worn?duringthe?production?process,?Party?B?should?be?responsible?for?the?related?repairand?maintenance.

五、?模具費用的支付/PaymentTerms

在鑄件得到最終用戶的確認(rèn)及甲方收到最終用戶模具費用后30天內(nèi)支付。Party?A?will?fullypay?to?Party?B?within?30?days?after?casting?approval?by?final?customer,?andreceipt?of?tooling?payment?by?party?A.

六、?模具所有權(quán)/Ownership

模具的所有權(quán)為甲方所有,甲方享有收回和處理的權(quán)利。Mold’s?ownershipbelongs?to?Party?A.?Party?A?enjoys?the?right?to?taking?back?and?dealing?withthe?mold.

七、?保密責(zé)任/Confidentiality

1)?未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書面、出示和借用的方式轉(zhuǎn)泄露給第三方。如有發(fā)生信息泄露,甲方有權(quán)追究其法律責(zé)任。Without?the?permission?of?Party?A,?Party?B?should?not?disclose?thedrawings?and?technical?information?which?are?provided?by?Party?A?in?oral,written,?showing?and?lending?way?to?the?third?Party.?If?Party?B?revealed?such?information,Party?A?has?the?right?to?pursue?Party?B’s?legal?responsibility.

2)?當(dāng)?雙方履行完該協(xié)議后，乙方必須歸還甲方所提供的用于開發(fā)該模具的所有保密信息及其全部副本(不論其是否是在計算機磁盤、光盤讀取器、光盤、硬盤或軟件中或?硬拷貝載體上存儲、保存或記錄的);如果乙方退還上述保密信息及其全部副本為不可行，則應(yīng)將其銷毀，或者從計算機或其他電子系統(tǒng)中將其刪除或抹除。After?the?Parties?fulfill?the?agreement,?Party?B?should?return?toParty?A?all?confidential?information?and?all?copies?of?developing?the?mould?thereofwhether?or?not?the?same?are?stored,?maintained?or?recorded?in?computer?disks,CD-ROM?drives,?CD-ROMs,?hard?disks?or?software?or?in?hard?copy?format?and,?tothe?extent?that?it?is?not?feasible?to?return?the?same,?shall?destroy?suchconfidential?information?or?cause?the?same?to?be?deleted?or?erased?from?anycomputer?or?other?electronic?system.

八、?其他約定/Others

1)?本協(xié)議受中華人民共和國的法律法規(guī)管轄，并應(yīng)依照中華人民共和國的法律法規(guī)解釋。Theagreement?shall?be?governed?by,?and?interpreted?in?accordance?with,the?laws?and?regulations?of?the?People’s?Republic?ofChina.

2)?除非雙方采用書面形式，否則對本協(xié)議的任何修正均屬無效。Any?amendments?to?this?agreement?shall?not?be?valid?unless?made?bythe?Parties?in?writing.

3)?本協(xié)議一式兩份，每份皆具有同等法律效力。This?agreement?is?made?in?two?original?copies,?both?of?which?areequally?valid.

4)?本協(xié)議在雙方簽訂本協(xié)議之日立即生效。This?agreement?shall?take?effect?immediately?upon?the?date?ofexecution?by?the?Parties.

5)?凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭執(zhí)，都應(yīng)通過友好協(xié)商解決。如果在書面要求協(xié)商的通知發(fā)出后的三十(30)天內(nèi)不能解決，則該爭執(zhí)應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。All?the?disputes?and?controversies?of?every?kind?and?nature?betweenthe?Parties?arising?out?of?or?in?connection?with?the?agreement?or?the?executionhereof?shall?be?settled?by?friendly?negotiation?between?the?Parties.?If?nosettlement?can?be?reached?within?thirty?(30)?days?after?delivery?of?the?writtennotice?requesting?the?said?negotiation,?such?dispute?or?controversy?shall?besubmitted?a?competent?court?located?in?the?business?place?of?Party?A?forjudgment.

6)?當(dāng)本協(xié)議中文文本與英文文本發(fā)生歧義時，應(yīng)以中文文本為準(zhǔn)。The?Chinese?version?of?this?agreement?will?prevail?if?there?is?anyconflict?between?the?Chinese?version?and?English?version?of?this?agreement.
